1. Acceptance of Terms

By accessing or using the XBot AI MTD platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. The Service and Limitations

XBot AI MTD is an HMRC-recognised software that provides digital record keeping, automated Quarterly Updates (QAs), End of Period Statements (EOPS), CT600, and iXBRL accounts filing for Micro Entities.

2.1 Disclaimer on Tax Advice

The Service provides automated tools and AI suggestions based on your data input. **XBot AI MTD is not a substitute for professional tax advice or an accountant.** We do not warrant the accuracy of the tax amounts calculated or the suitability of the tax filing unless you have purchased an explicitly designated "Accountant Review" service. You, the user, remain solely responsible for the accuracy and completeness of the data submitted to HMRC and Companies House.

3. User Responsibilities

• **Accuracy of Data:** You must ensure that all financial records, receipts, and personal information entered into the Service are accurate, genuine, and legally compliant.
• **Compliance:** You are responsible for meeting all statutory filing and payment deadlines set by HMRC and Companies House.
• **Security:** You must maintain the security and confidentiality of your login credentials.

4. Subscriptions and Fees

• **Subscription Model:** MTD ITSA plans are typically annual subscriptions. Micro Entity Filing is a one-off fee per filing.
• **Billing:** All fees are due in advance. Failure to pay may result in suspension or termination of your access to the Service.
• **Refunds:** Fees are non-refundable unless the service is terminated by Xbot Technology Limited due to platform failure.

5. Intellectual Property

All intellectual property rights in the Service (including the AI engine, software, design, and branding) are owned by Xbot Technology Limited. You are granted a limited, non-exclusive license to use the Service solely for its intended purpose.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of **England and Wales**. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
